I am in the process of re-wiring my 62, 235. I am getting no spark. With power "ON" the positive side of the coil shows 12 volts, the negative side shows nothing. Is my coil bad?

You should read 12V on both sides of the coil. (If the points are in the closed position a good coil could possibly read what you are seeing)
Another way to test the coil is to remove the wire from the center of the distributor cap and hold it (with insulated pliers or gloves) about 1/4" away from a good ground. Turn the key on and manually open and close the points, you should see a good spark jumping to ground.

One problem...when I turn the truck off, it makes an ugly grinding sound that sounds like the starter. Any suggestions?

Possibly a problem in the ignition switch that's sending voltage to the solenoid during turn-off. You could check it with a trouble light on the starter solenoid terminal that comes from the switch, if you see a momentary light during shut-down, you've got a problem in the switch or something is wired wrong. | | |
