The bellhousing bolt pattern is the same but the 1939 uses a four bolt flywheel so you must use the 39 flywheel. Other than that it should be an easy swap.

By the way 1939 was the last year to not use a rear main seal on the crank.

If you have the front fenders off you can pull the trans with the engine, otherwise pull the trans first. With the fenders on I believe you will need to pull the bellhousing off to clear also.
