Ken: It sounds like your noise is possibly a bearing problem. If the bearings are bad enough, they can also cause a shifting problem or a popping out of gear situation. I have seen bearings bad enough that when you try to shift the shaft will actually move instead of the slider that ingages the gear, so it never really ingages fully. Thus, it pops out of gear.
